Welcome to IPverse. These Terms of Service ("Terms") govern your access to and use of the IPverse platform ("Service"), operated by Yodo1 Ltd. and its affiliates ("Yodo1", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

The Service is intended for business use only. By using the Service, you represent that:

You are at least 18 years of age.
You have the authority to bind the company or entity on whose behalf you are using the Service.
Your use of the Service complies with all applicable laws and regulations.

2. Account Registration

To access certain features, you must create an account by providing accurate information, including your name, email address, company name, and job title.

You are responsible for:

Maintaining the confidentiality of your account credentials.
All activities that occur under your account.
Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Service

IPverse is a data intelligence platform for IP licensing in the gaming industry. The Service provides:

Access to a database of IP collaboration events.
IP popularity rankings and trend tracking.
IP Quadrant analysis tools.
AI-based IP matching and recommendations.

The data, rankings, scores, analyses, and insights displayed on the Service are proprietary to Yodo1 and represent the result of substantial investment of time, effort, and expertise in data collection, curation, analysis, and verification. The database, its organizational structure, analytical frameworks, and all derived outputs constitute Yodo1's proprietary work product and are protected under applicable intellectual property and database rights laws.

4. Acceptable Use

You agree NOT to:

4.1 Access Restrictions

Access or attempt to access the Service through any means other than our official website, including directly calling, querying, or interacting with any API endpoint, backend service, or server-side infrastructure of the Service, regardless of whether such endpoint is documented, public, or requires authentication.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or architecture of the Service.
Intercept, monitor, or capture communications between your browser and our servers, including API requests, responses, headers, or tokens.
Use the Service, or cause the Service to be accessed, by any automated means, including but not limited to bots, scrapers, crawlers, spiders, scripts, or any software or hardware device that simulates human interaction with the Service.

4.2 Data Extraction Restrictions

Extract, download, scrape, harvest, collect, or otherwise copy any data, content, rankings, scores, analyses, or insights from the Service, whether manually or through automated means, in whole or in part.
Store, cache, archive, or retain any data or content obtained from the Service beyond what is necessary for temporary display in your browser during normal use.
Reproduce, redistribute, publish, sell, lease, sublicense, or commercially exploit any data, content, rankings, or analyses from the Service, in whole or in part, whether in original or modified form.
Systematically extract and incorporate data or content from the Service into any competing or similar product, service, database, or analytical tool.
Combine data from the Service with data from other sources to create a derivative product, dataset, or service.

4.3 General Restrictions

Use the Service for any unlawful purpose.
Interfere with or disrupt the integrity, performance, or availability of the Service.
Impersonate any person or entity or misrepresent your affiliation.
Circumvent, disable, or interfere with any security mechanisms, rate limits, access controls, or data protection measures of the Service.
Share your account credentials or allow any third party to access the Service through your account.

5. Intellectual Property

5.1 Our Content

All content on the Service, including but not limited to text, graphics, logos, data, databases, rankings, analytical models, algorithms, software, and trademarks, is the property of Yodo1 or its licensors and is protected by intellectual property and database rights laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only, subject to the restrictions in Section 4. This license does not include the right to extract, copy, store, or redistribute any data or content from the Service, except for temporary caching in your browser during normal use of the website.

5.2 User Content

If you submit, upload, or provide any content to the Service (such as company information or collaboration data), you:

Retain ownership of your content.
Grant Yodo1 a worldwide, royalty-free, non-exclusive license to use, display, and distribute such content in connection with the Service.
Represent that you have the right to submit such content and that it does not infringe any third-party rights.

6. Data Accuracy and Disclaimer

While we invest substantial effort in curating, verifying, and maintaining the data on the Service:

We do not guarantee the completeness, accuracy, or reliability of any data or content.
The Service may contain links to third-party websites or references to third-party intellectual property. We are not responsible for third-party content or practices.
You use the data and insights at your own risk.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF DATA

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YODO1 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
ANY LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Yodo1 and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service.
Your violation of these Terms.
Your infringement of any third-party rights.
Any unauthorized extraction, use, or distribution of data or content from the Service.

10. Modifications to Terms

We may modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

We encourage you to review these Terms periodically.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Violation of Section 4 (Acceptable Use) or Section 5 (Intellectual Property) will result in immediate termination without prior notice.

Upon termination:

Your right to use the Service will immediately cease.
You must immediately delete or destroy any data or content obtained from the Service that is in your possession or control.
Provisions that by their nature should survive termination will survive (including Sections 4, 5, 7, 8, 9, and 12).

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

Any dispute arising from or relating to these Terms or the Service shall be resolved through negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Beijing, China.

13. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Yodo1 regarding the Service.
Severability: If any provision is found invalid, the remaining provisions remain in effect.
Waiver: Failure to enforce any right does not constitute a waiver of that right.
Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
